Terms of Service

Please read these Terms carefully. By creating an account, listing a Space, listing a Service, booking a Space, or otherwise using Trading Spaces, you agree to these Terms of Service and our Privacy Policy. If you do not agree, do not use the platform.
1. Who we are
Trading Spaces (“Trading Spaces,” “we,” “us,” or “our”) operates an online marketplace at trading-spaces.com (the “Platform”) that allows owners and operators of physical spaces (“Hosts”) to list those spaces (“Spaces”) for short-term, daily, weekly, monthly, or long-term use by other users (“Guests”), and that allows third-party service providers (“Vendors”) to offer event and workplace services (“Services”) to Hosts and Guests. Hosts, Guests, and Vendors are collectively the “Users.”
2. Trading Spaces is a marketplace, not a party
Trading Spaces is a venue and a technology platform. We are not a real-estate broker, agent, landlord, tenant, insurance carrier, security company, transportation provider, parking operator, valet, caterer, bartender, event planner, or any other Vendor. We do not own, operate, manage, control, or inspect any Space or Service listed on the Platform.
Every booking, rental, license, hire, exchange of money, or provision of services arranged through the Platform is a direct contract between the Host (or Vendor) and the Guest. Trading Spaces is not a party to that contract and assumes no responsibility for, and disclaims all liability arising from, the performance, condition, safety, legality, suitability, or quality of any Space, Service, booking, event, listing, communication, or User.
3. Eligibility & account
You must be at least 18 years old and able to enter into a binding contract to use the Platform. You are responsible for the accuracy of every piece of information you submit, for the security of your account credentials, and for everything that happens under your account. You agree to notify us immediately at legal@trading-spaces.com of any unauthorized use.
4. Hosts: your obligations
- You represent and warrant that you own the Space, or have full legal right and authority from every owner, lender, landlord, HOA, condo board, co-tenant, lienholder, insurer, and governmental body whose consent is required to list and rent the Space on the Platform.
- You are solely responsible for: (a) the accuracy of your listing, including descriptions, photos, capacity, amenities, pricing, availability, and policies; (b) compliance with all applicable laws, ordinances, zoning, tax, occupancy, fire, life-safety, ADA, alcohol, noise, short-term rental, and licensing requirements; (c) collecting and remitting all sales, lodging, hotel occupancy, and other taxes; (d) maintaining the Space in a safe, clean, and habitable condition; (e) carrying appropriate property, liability, and event insurance; and (f) the conduct of your staff, contractors, agents, and anyone else you allow on the Space.
- You acknowledge that any references on the Platform to liability coverage, vendor vetting, background checks, damage protection, or similar protections are aspirational, marketing-stage descriptions of features that may or may not be operational in your market at the time of your booking. No insurance, indemnity, damage protection, or guarantee is provided by Trading Spaces unless we expressly confirm coverage in a separate written agreement signed by an authorized officer of Trading Spaces.
5. Guests: your obligations
- You are responsible for inspecting the Space, confirming it is suitable for your intended use, and complying with every house rule, capacity limit, and law that applies to your booking and event.
- You are responsible for the conduct of every guest, attendee, vendor, and contractor you bring onto the Space, and for any damage, injury, loss, fine, or claim they cause.
- You assume all risk of personal injury, property damage, illness, theft, food-borne illness, alcohol-related incidents, weather, force majeure, and any other harm that may occur in connection with the Space, the booking, the event, or any Service.
6. Vendors: your obligations
Vendors must hold every license, permit, certification, and insurance policy required to provide their Services in the jurisdiction where the Service is delivered, including but not limited to TABC permits for alcohol service, food handler certifications, valet/parking permits and garage insurance, transportation authority, and worker’s compensation. Vendors are independent contractors of the Host or Guest who hires them. Vendors are not employees, agents, or representatives of Trading Spaces, and Trading Spaces does not endorse, supervise, control, or guarantee any Vendor’s Services.
7. Bookings, payments & cancellations
Each listing displays the Host’s pricing, minimum booking duration, security deposit (if any), and cancellation policy. By submitting a booking request you authorize Trading Spaces and our payment processors to charge your payment method. Trading Spaces’ service fees and platform subscription fees are non-refundable. Refunds of Host or Vendor charges are governed by the cancellation policy posted on the listing. Disputes over the condition of a Space, the quality of a Service, or damage to property must be raised between the affected Users; Trading Spaces may, at its sole discretion, mediate or facilitate a resolution but is not obligated to do so and is not the arbiter of any factual dispute.
8. Prohibited conduct
You agree not to:
- use the Platform for any unlawful, fraudulent, discriminatory, or harassing purpose;
- list a Space you do not have the legal right to rent;
- circumvent the Platform to avoid fees, including accepting off-platform payment for a booking that originated on the Platform;
- post false, misleading, defamatory, or infringing content;
- scrape, reverse-engineer, or interfere with the Platform or its security; or
- use the Platform to host an event that violates fire code, occupancy limits, alcohol law, noise ordinances, short-term rental restrictions, or any other law.
9. Intellectual property & user content
The Platform, including its software, design, brand, logos, and content created by Trading Spaces, is owned by Trading Spaces and protected by copyright, trademark, and other laws. You retain ownership of the content you submit (listings, photos, reviews, messages), and you grant Trading Spaces a worldwide, royalty-free, sublicensable, perpetual, irrevocable license to host, display, reproduce, modify, distribute, and use that content to operate, promote, and improve the Platform.
10. Disclaimer of warranties
THE PLATFORM, EVERY SPACE, EVERY SERVICE, AND EVERY LISTING ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WITHOUT LIMITATION ANY WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, QUALITY, SAFETY, HABITABILITY, SECURITY, OR UNINTERRUPTED/ERROR-FREE OPERATION. TRADING SPACES MAKES NO REPRESENTATION THAT ANY HOST, GUEST, VENDOR, OR LISTING HAS BEEN VERIFIED, VETTED, SCREENED, BACKGROUND-CHECKED, INSURED, OR IS FIT, QUALIFIED, OR SAFE.
11. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL TRADING SPACES, ITS OFFICERS, DIRECTORS, EMPLOYEES, AFFILIATES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, EXEMPLARY, OR ENHANCED DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, BUSINESS OPPORTUNITY, OR USE, ARISING OUT OF OR RELATING TO THE PLATFORM, ANY SPACE, ANY SERVICE, ANY BOOKING, ANY EVENT, ANY USER, OR THESE TERMS, WHETHER BASED IN CONTRACT, TORT, STRICT LIABILITY, STATUTE, OR OTHERWISE, EVEN IF TRADING SPACES HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN ANY EVENT, TRADING SPACES’ AGGREGATE LIABILITY TO ANY USER FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE PLATFORM OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE TOTAL FEES ACTUALLY PAID BY THAT USER TO TRADING SPACES IN THE SIX MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).
12. Indemnification
You will defend, indemnify, and hold harmless Trading Spaces and its officers, directors, employees, affiliates, agents, and licensors from and against any and all claims, damages, losses, costs, fines, penalties, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Platform; (b) your listing, booking, event, or Service; (c) your interaction with any other User; (d) your violation of these Terms or any law; (e) any injury, death, property damage, or other harm caused by you, your guests, attendees, vendors, contractors, or invitees; and (f) any content you submit.
13. Assumption of risk
You knowingly and voluntarily assume all risks, known and unknown, of using the Platform and of attending, hosting, or providing services at any Space, including but not limited to risks of personal injury, illness, death, property loss, theft, foodborne illness, alcohol-related incidents, third-party criminal acts, weather, fire, flood, structural failure, and force majeure events.
14. Termination
Trading Spaces may suspend or terminate your account, any listing, or your access to the Platform at any time, with or without notice or cause, including for any suspected violation of these Terms. You may terminate your account at any time by contacting us. Sections 2, 4–7, 9–13, and 15–18 survive termination.
15. Governing law & venue
These Terms are governed by the laws of the State of Texas, without regard to its conflicts of laws rules. Subject to Section 16 (arbitration), the exclusive venue for any dispute is the state and federal courts located in Harris County, Texas, and you consent to personal jurisdiction there.
16. Binding arbitration & class-action waiver
Any dispute, claim, or controversy arising out of or relating to these Terms or the Platform will be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, seated in Houston, Texas. You and Trading Spaces each waive the right to a jury trial and the right to participate in any class, collective, representative, or consolidated action. The arbitrator may award only individual relief. You may opt out of this arbitration agreement by emailing legal@trading-spaces.com within 30 days of first accepting these Terms.
17. Changes to these Terms
We may update these Terms at any time by posting an updated version on the Platform. The “Last updated” date above will reflect the change. Your continued use of the Platform after a change constitutes acceptance of the updated Terms.
18. Miscellaneous
These Terms, together with the Privacy Policy and any listing-specific terms, are the entire agreement between you and Trading Spaces regarding the Platform. If any provision is held unenforceable, the remaining provisions remain in effect. Trading Spaces’ failure to enforce any provision is not a waiver. You may not assign these Terms; we may assign them freely. Notices to you may be given by email or by posting to the Platform. Notices to Trading Spaces must be sent to legal@trading-spaces.com.
